Key Steps to Starting a Business in Ras Al Khaimah

In order to start a business in the Emirate of Ras Al Khaimah, you need to follow these five key steps: 

1.    Determine the type of business activity

It is crucial for the investor to determine the type of business activity before initiating business license issuance procedures. Each activity has its own unique legal regulations and fees according to its nature. In addition to the above mentioned, some activities are required to fulfill particular conditions and specifications related to the location site (e.g. location & space),as some locations are strictly forbidden for some activities under certain conditions. 

2.    Determine the Legal Category of the Establishment 

There are many legal categories that fit every business, e.g. Limited Liability Company (L.L.C), etc. The legal status requirements are determined by the type and nature of the business. 

All investors, regardless of legal status, have to visit the office of the General Directorate of Residency & Foreigners Affairs in the Department of Economic Development to obtain approval.

3.    Registering the Trade Name 

Post determining the type of the activity and the legal status of the business, it is important to choose a unique and appropriate trade name for the establishment. The investor may obtain initial approval before obtaining the trade name certificate. The initial approval allows the investor to continue with business license issuance proceduresand address the concerned authorities to obtain their approval to conduct the required business activity, though not conducting the activity without first obtaining the license. 

In this step, the investor may rent the business site after visiting the Monitoring & Consumer Protection Administration in the Department of Economic Development and other concerned authorities to examine and approve the business location (fulfill the required specifications and activity convenience). 

4.    Obtaining Approvals of Concerned Authorities 

After obtaining initial approval and fulfilling the requirements and legal conditions, the investor should visit the other concerned authorities to obtain their approval. These authorities are defined according to the required activity, although some types of activities may require the sole approval of the Department of Economic Development. 

5.    Issuance of the Business License 

Once the approval of the concerned authorities is obtained, the investor may proceed to the stage of fulfilling all the legal requirements of business license issuance from the Department of Economic Development,before finally receiving the license.

The licenses issued by the concerned authorities in the Emirate of Ras Al Khaimah are classified under:
Industrial License
Commercial License
Professional License
Tourism License

Business Establishment Facilitation Services:

In order to facilitate the procedures of establishing economic enterprises in Ras Al Khaimah, the concerned Government authorities along with the Economic Zone authorities provide all kinds of support to businesses, including the Single Window Service. RAKEZ provide this service to assist companies with obtaining the necessary Licenses and approvals from other Government authorities efficiently.
DED Express Service: Investors who aim to launch a business in the Emirate of Ras Al Khaimah may take advantage of the Express Service provided by the Department of Economic Development for an additional fee.

General and Special Conditions

To engage in any industrial, commercial, professional and touristic activity in the Emirate of Ras Al Khaimah, a License has to be issued from the Department of Economic Development. The applicant must also get approvals from the concerned Ministries, Government authorities and institutions if required, according to the following details:

General Conditions for the Practice of Commercial Activities

  • Adhere to the regulations and laws in force in the UAE.
  • Not undertake any work that may affect the security and safety of society.
  • Nobody shall be permitted to practice any for-profit activities without obtaining a License.
  • Adhere to the tolerant provisions of the Islamic Shariah.
  • Not practice any activities that breachgeneral decency in all its forms.
  • Abide by the strict forbiddance to engage in gamblingactivities in all forms.
  • Commit to any future laws from official related government bodies.

SpecialConditions for License-holders:

  • The License applicant may not be less than21 years of age.
  • The Licensee may not hold a License morethan one month past its expiry.
  • The holder must meet the specialconditions for activities to be practiced.

SpecialConditions for Trade Names:

  • The trade name may not be repeated.
  • The trade name may not contain a political or religious meaning.
  • The trade name may not contradict theIslamic Shariah, customs, or traditions, andmay not contain any names or majesticqualities (except compound names).
  • The trade name may not contravene theinstructions and regulations in force federallyor locally.
  • The trade name may not be misleading andshould be in line with reality.
  • The trade name is preferably to be in Arabic andto give an indication of the activity.
  • The Department of Economic Developmentshall have the right to refuse or change asuggested trade name upon application.
  • The trade name shall be reserved for twomonths and available for renewal uponpayment of the decided fees.
  • It is strictly forbidden to write a trade nameon the flag of the State or any other country, orany political or holy religious symbol. Anyperson not abiding by such conditions shallbear himself accountable.
  • The trade name should not have obscene or indecent words, and should not be offensive to the general public even if it is a personal name.
  • If the trade name includes the name of a person, that person must be a partner/owner in the License.
  • Family names should not be used as a trade name unless it includes the first name.
  • Names should be written literally and not translated. For example, if the Arabic name is (المستقبل للتجارة) it must be written as “Al Mostaqbal Trading”.
  • The trade name should not include the name of a country or government.
  • The trade name should not include any punctuation marks, such as (., ! ? /).
  • The Department of Economic Developmentreserves the right to levy fines for name violations in previous years.
  • The trade name cannot start with "International", "Middle East”, "Global", etc.


Technical Analysis Conditions for the “Place of Business”:

First Condition – Regulatory Aspect:
A new facility shall not be opened, or an old facility transferred next to a facility that practices the same activity except with express approval from the Department of Economic Development, and provided that the siteis not incompatible with the approved activity in the area or main roads.

Second Condition – Aesthetic Aspect:
Neighbouring shops will be taken into consideration and the extent to which their activities andsize are compatible with existing Licenses and shops.

Third Condition– Health Aspect:
This concerns shops that practice activities that may affect people’s health and safety. For moreinformation, please refer to a representative of the Health Division at the Department of EconomicDevelopment.

Fourth Condition– Safety and Security:
This concerns shops that engage in activities that use flammable and hazardous materials. Formore information, please refer to a representative of the Civil DefenceDivision at the Department of EconomicDevelopment.

Opening Branches for Local Companies and Establishments

This service allows you to submit a request to open a Branch for a local company or establishment through the Department of Economic Development in Ras Al Khaimah.

Process Description 
1.    Fill out the License Application Form at the Department of Economic Developmentin Ras Al Khaimah
2.    Submit all the required documents
3.    Pay the fee
4.    Collect the License 

Required Documents
     ✓ Letter from the Establishment or Company to open a Branch or Authorization of a branch manager
     ✓ Copy of the Managing Director’s Passport (if any)
     ✓ Copy of a valid Economic License for the main office and a list of partners in association
     ✓ Copy of the main company’s Memorandum of Association
     ✓ Academic Certificates and previous practical experience of the License holder or Managing Director, if the activity requires such, in the case of an individual establishment
     ✓ Company capital if the activity or legal form requires such
     ✓ Approval from other Governmental bodies according to activity
     ✓ Original Rent Contract certified by the Municipality and a copy of Property Ownership after approval from the Inspection Division at the Department of Economic Development regarding the site
     ✓ Copy of the Passport and ID card (in the case of an individual establishment)
     ✓ Copy of the Passports of all partners with residencystatus/visa details for expatriates (in the case of a partnership)
    ✓ Copy of the ID card for citizens

Opening branches for GCC companies

This service allows you to submit a request to open a Branch for a GCC company through the Department of Economic Development in Ras Al Khaimah.

Process Description 
1.    Fill out the License Application Form at the Department of Economic Developmentin Ras Al Khaimah
2.    Submit all the required documents
3.    Pay the fee
4.    Collect the License 

Required Documents
     ✓ Letter from the Establishment or Company to open a Branch or Authorization of a Branch Manager
     ✓ Copy of all partners’ passports
     ✓ Copy of the Commercial License approved by the embassy of the issuing country and the UAE Ministry of Foreign Affairs
     ✓ Copy of the Memorandum of Association approved by the embassy of the country that issuedthe license and by the UAE Ministry of Foreign Affairs
     ✓ Approval from other Governmental bodies according to the activity
     ✓ Original Rent Contract certified by the Municipality and a copy of property ownership after approval from the Inspection Division at the Department of Economic Development regarding the site

Opening Branches for Foreign Companies

This service allows you to submit a request to open a branch for a foreign company through the Department of Economic Development in Ras Al Khaimah.

Process Description 
1.    Fill out the License application at the Department of Economic Developmentin Ras Al Khaimah
2.    Submit all the required documents
3.    Pay the fee
4.    Collect the License 

Required Documents
     ✓ Initial approval from the Ministry of Economic  of RAK
     ✓ Letter from the establishment or company to open a branch or authorization of a Branch Manager
     ✓ Copy of the Branch Manager’sPassport with residency/visa/entry stamp details
     ✓ No Objection letter from the sponsor (for expatriate partners) certified by the Chamber of Commerce (if needed)
     ✓ Copy of the Commercial License translated into Arabic and certified by the embassy of thepartners’ nationalities and the UAE Ministry of Foreign Affairs
     ✓ Copy of the main company’s Memorandum of Association authorized and translated into Arabic, and certified by the embassy of the partners’ nationalities and the UAE Ministry of Foreign Affairs
     ✓ Copies of the Citizen’s (as a service agent for the license) Passport and ID card
     ✓ Approval from other governmental bodies according to the activity
     ✓ Original Rent Contract certified by the Municipality and a copy of Property ownership after approval from the Inspection Division at the Department of Economic Development regarding the site

Opening a Branch for an Economic Zone License Company

This service allows you to submit a request to open a branch for an Economic Zone  License Company through the Department of Economic Development in Ras Al Khaimah.

The First Case: In the case of opening an Economic Zone Branch, the company established in the  RAK Economic Zone is considered a foreign branch, and a Local Services Agent Contract between the company and the service agent is issued and certified by the notary.

The Second Case: To establish a Limited Liability Company between partners with Ras Al Khaimah Economic Zone (RAKEZ) authority, the license is considered limited and is independent.

Process Description 
1.    Fill out the License Application at the Department of Economic Development Ras Al Khaimah
2.    Submit all the required documents
3.    Pay the fee
4.    Collect the License 

Required Documents
     ✓ Initial approval from the Department of Economic Development to open a foreign company (for the First Case)
     ✓ Approval from the Ras Al Khaimah Economic Zone (RAKEZ) Authority to open a branch or include a partner 
     ✓ Copy of the main company’s or establishment’s Commercial License 
     ✓ Copy of the main company’s Memorandum of Association (if any)
     ✓ Copy of the Citizen’s (as a service agent or partner) valid Passport and ID card
     ✓ Copy of all partners’ passports, with visa/residency details (for expatriates) 
     ✓ The company’s Authorized Signatory (Authorized Manager), and a copy of his passport with visa/residency details 
     ✓ Service Agent Contract certified by the notary (for the first case), or a Memorandum of Association (for the second case)
     ✓ No objection letter from the sponsor certified by the Chamber of Commerce (if needed)
     ✓ Company minutes or resolution certified by the notary
     ✓ Original Rent Contract certified by the Municipality and a copy of Property Ownership after approval from the Inspection Division at the Department of Economic Development regarding the site
